To ask the Minister for Enterprise, Trade and Employment when the companies (Corporate Governance, Enforcement and Regulatory Provisions) Act 2024 will come into effect, whether the provisions of the Act will apply retrospectively to the date it was signed by the President; and if he will make a statement on the matter. The Companies (Corporate Governance, Enforcement and Regulatory Provisions) Act 2024 was signed into law on 12th November 2024, with 64 of the 90 sections of the Act taking effect from 3rd December 2024.

Section 22 of the Act provides for a change to the audit exemption regime, whereby small and micro sized companies will not automatically lose the privilege of audit exemption on a first occasion, in a five year period, of late filing of an annual return with the Companies Registration Office (CRO). This section came into operation on 16th July 2025.

The remaining provisions of the 2024 Act relate to a variety of administrative and filing matters relating to the CRO and will be commenced once the necessary preparations have been made by the CRO.
