I am considering introducing an amendment to section 95 on Report Stage to remove the words "Where the company's constitution so states or where the share is partly paid" from the start of section 95(3) and to provide that in the case of shares that are only partially paid or where the constitution of a company requires the signature of both the transferee and the transferor, liability will not pass until the instrument of transfer has been signed by both parties.
