There is an obligation on the chair of the board of a State body to report annually to the relevant Minister, give certain assurances and disclose on certain matters. Maybe the obligation that is relevant in this case is "outlining all commercially significant developments affecting the State body in the preceding year, including the establishment of subsidiaries or joint ventures and share acquisitions, and major issues likely to arise in the short to medium term".

That obligation is there on every chairperson.
